How Does Escrow Work for Website Sales?
In a website sale, escrow holds the buyer’s funds under agreed instructions while the seller delivers the specified assets. Funds are released when the agreed acceptance conditions are met. This can reduce the risk of paying without receiving the website or transferring it without payment, but it does not verify the business’s value, cure missing ownership rights or remove every dispute risk.

Four arrangements that should not be confused
- Independent third-party escrow
- A separate escrow agent holds funds and follows the transaction instructions. Check its legal identity, applicable authorisation, terms, account arrangements and dispute process for your jurisdiction and deal.
- Broker-arranged closing
- A broker coordinates the sale and handover. Funds might be held by that broker or by a separate legal or escrow provider. Ask who actually holds the money and owes duties to each party. Calling the process “escrow” does not establish independence.
- Ordinary payment processing
- A processor accepts a card or other customer payment and settles proceeds under a merchant agreement. That alone does not create conditional custody for a website acquisition.
- Direct buyer-to-seller payment
- The parties exchange payment and assets without a neutral fund holder. Their agreement and payment method determine the available remedies; neither side should assume escrow-style release controls exist.
For example, Broker.xxx’s closing description says funds may be held by its brokerage or legal escrow. That is a reason to identify the arrangement in your documents, rather than treating its description as proof of an independent service. CCBill, Segpay and Verotel are discussed in our merchant payment guide for collecting customer payments, not as acquisition escrow recommendations.
Check adult-content eligibility before sending money
Escrow.com’s General Terms, sections 4 and 5, reviewed on 31 October 2026, limit services to lawful transactions, prohibit transactions involving obscene material and copyright-infringing items, and reserve discretion to decline a transaction. These provisions do not establish blanket acceptance of adult website purchases. They also do not justify claiming that every adult-related domain is automatically prohibited.
Describe the actual domain, business model, content, licences, customer data, parties and jurisdictions to the proposed provider. Obtain its written eligibility confirmation before funding or delivery. Do not describe a content business as a bare domain to bypass review. If the provider declines it, resolve a lawful alternative with a qualified adviser; do not route the same prohibited transaction through an ordinary payment account.
Escrow.com’s legal agreement index distinguishes agreements by transaction jurisdiction, including a separate Australian instructions document. A workflow described on a general help page is not a substitute for the agreement governing your transaction.
The transaction from agreement to payout
- Define the deal. Agree the price, currency, domains, files, rights, approved data transfer, exclusions, fees and required third-party consents. Settle substantive due diligence before closing; an inspection window is not a replacement for evaluating the business.
- Set up the accepted transaction. Verify the fund holder independently, complete its identity checks and ensure both parties see identical instructions. Confirm what happens if a consent fails or the sale is cancelled.
- The buyer funds escrow. The buyer sends the required amount using a payment method accepted for that transaction. “Payment initiated” and “funds available for transfer” are different states.
- The seller waits for official clearance. Check the service directly for the instruction authorising delivery. Never transfer a domain on the strength of a forwarded funding email.
- Deliver the agreed assets. Perform the approved registrar transfer, code and content delivery, hosting migration and account replacements. Keep dated records of each delivery and distinguish domain control from a working website.
- The buyer inspects. Run the agreed tests and report any defect using the service’s required channel before its deadline. Track the start and end of the inspection period rather than relying on informal chat.
- Accept or resolve a rejection. Explicit acceptance or the applicable expiry rules may trigger release. A rejection may require returning assets and following a formal dispute procedure; a complaint alone does not guarantee a refund.
- Reconcile the payout. Confirm the fund holder’s release and the seller’s received settlement separately. Deduct the agreed fees, close access changes and complete any separately documented transition support.
Escrow.com’s domain and website workflow illustrates the funding, transfer, inspection and payout sequence for transactions it accepts. Other services can use different triggers, deadlines and documents.
Write tests that fit the assets being delivered
Agree what starts the clock, the time zone, calendar or business days, who records delivery, the tests to perform, the rejection channel and the extension procedure. Ensure the fund holder accepts these instructions. Do not assume a private agreement overrides its standard release mechanism.
Under the general Escrow.com instructions linked for non-Australian transactions, inspection can start upon acknowledgement of receipt or verified delivery, and inaction can amount to acceptance. Domain delivery may therefore start a clock before a complex site migration is complete. Confirm how that risk is handled in the actual transaction before proceeding.
- Verify domain control, DNS, HTTPS and the specific URLs in the schedule.
- Restore the agreed database and content version, then check login, search and important user journeys.
- Confirm delivery of source, build documentation and the rights or licences specified in the contract.
- Verify approved integrations and new service accounts. Use authorised tests; do not charge real customers merely to demonstrate a migration.
- Record each defect against an agreed criterion. Traffic or profit after closing should not become an improvised acceptance condition.
Plan for disputes and total closing costs
Document how failed delivery, partial delivery and rejected assets are handled, including access, copies of confidential data and the cost of reversing a transfer. Preserve logs and contact the provider promptly. A deadline for rejection, negotiation or arbitration can matter even when the other party is still replying to messages. Do not wait for an informal promise to replace a formal filing.
The governing agreement determines whether funds remain held, are returned, or are released, and what legal process is available. Escrow does not itself establish that the seller owned every copyright or that earnings were represented accurately. Specialist legal review is useful when the assets, parties or dispute forum cross borders.
Agree who pays escrow, broker, wire, currency conversion, registrar, migration and legal costs, and what remains payable on cancellation. Obtain a transaction-specific quote rather than copying a headline rate. Escrow.com’s terms include a buyer-pays default unless the parties agree otherwise; confirm the instructions and fee allocation actually shown for your accepted transaction.
Closing and fraud prevention checklist
- Type the provider’s known address yourself; verify the legal entity and applicable service authority independently. A padlock or copied logo proves neither.
- Confirm any changed bank details through an independently obtained contact, and compare the beneficiary to the agreed instructions.
- Reject overpayment schemes, requests to return “extra” funds to another recipient, and urgent demands to release assets outside the agreed process.
- Keep an asset-by-asset delivery log and backups. Do not transfer a personal registrar account or unrelated customer data.
- Put the inspection deadline in both parties’ calendars and check the official transaction record for its current status.
- Verify acceptance, the release instruction and actual payout separately. Retain the signed documents and delivery evidence.
Use the seller’s handover checklist to specify the assets, then consult the Adult Business Services directory to research service categories. Directory inclusion is not eligibility approval for a particular sale. Love8.me does not hold acquisition funds.
